Terms of service & website use.

Plain-English terms governing how codazzel.com may be used and how our software, design, and engineering engagements are structured.

01 / 06 Scope & precedence

Written statements of work govern delivery engagements.

Browsing codazzel.com or submitting a project inquiry through our contact form does not create a client-agency relationship, fiduciary duty, or binding delivery schedule. All commercial software engineering, design, platform migration, ERP, and search visibility engagements are governed by an executed Master Services Agreement (MSA) and project-specific Statement of Work (SOW).

Where an executed MSA or SOW conflicts with any summary description on this website, the signed MSA and SOW take precedence.

02 / 06 Intellectual property

Clear boundaries between custom deliverables and open-source foundations.

Upon full settlement of milestone invoices under an executed SOW, custom code, bespoke user interfaces, and brand assets created specifically for a client project transfer to the client as specified in that agreement.

Pre-existing studio tooling, reusable architectural patterns, and open-source dependencies (such as Next.js, Nuxt, React, PostgreSQL, or Odoo Community modules) remain governed by their respective studio or open-source licenses. All copy, custom SVG schematics, and photography on codazzel.com remain the property of Codazzel or their respective featured project owners.

03 / 06 Sector-specific boundaries

Technical software engineering—not clinical, legal, or financial advice.

Codazzel designs and engineers software systems for regulated and high-trust industries, including surgical and dental practices, law firms, real estate groups, and B2B manufacturing operations. Our deliverables are technical software, user interface, and data-routing systems.

Nothing on codazzel.com or within our software templates constitutes medical advice, clinical diagnosis, legal representation, or certified accounting counsel. Clients operating in regulated sectors remain responsible for final compliance sign-off with their qualified healthcare, legal, or regulatory counsel in their operating jurisdiction (such as HIPAA, PIPEDA, Law Society advertising rules, or local tax regulations).

04 / 06 Third-party platforms & migrations

Upstream vendor availability and legacy data backups.

Many engagements integrate with or migrate from third-party platforms—including WordPress, Webflow, Shopify, WooCommerce, Odoo 19, Docker/Dokploy, and external CRM or payment providers. Codazzel is not liable for upstream outages, API deprecations, or pricing changes introduced by third-party vendors.

Before any database migration, schema transformation, or DNS cutover begins, both parties verify a restorable backup snapshot in staging as part of our standard release runbook.

05 / 06 Acceptable use & warranties

Site availability and limitation of liability.

This website is provided on an “as-is” and “as-available” basis. Visitors agree not to probe, scrape at abusive rates, submit automated spam to the `/api/inquiries` endpoint, or attempt to bypass rate limits or security controls.

To the maximum extent permitted by applicable law, Codazzel disclaims implied warranties of merchantability or fitness for a particular purpose regarding informational content on codazzel.com, and shall not be liable for indirect or consequential damages arising from website use.
